VIRAL PLAYLISTS DIGITAL DISTRIBUTION SERVICE TERMS AND CONDITIONS

1. Introduction

By accessing or using the services provided by Viral Playlists Digital (“we”, “us”, or “our”), you agree to be bound by these Terms of Service.

If you do not agree to these Terms in full, you must not access or use the Platform or any associated services.

These Terms constitute a legally binding agreement governing your use of our digital distribution and related services.

2. Definitions and Interpretation

Assets: All materials provided by you for distribution, including audio files, metadata, artwork, and related content.

Commencement Date: The date you register and accept these Terms.

Delivery Specifications: Technical and data requirements required for distribution.

Digital Services: Third-party platforms (e.g. streaming and download services) selected for distribution.

Gross Receipts: Total revenue generated before deductions.

Net Receipts: Revenue generated after deduction of applicable partner charges. A partner charge of 9% applies to products distributed via servers in England, and 5% applies to products distributed via servers in Spain. Applicable taxes may also apply.

Licensed Territory: Worldwide unless otherwise specified.

Rights: Rights granted by you to us under these Terms.

Service: The digital distribution services provided by Viral Playlists Digital.

Service Duration: The period during which your content remains active under these Terms.

Your Share: You retain 100% of Net Receipts after applicable partner charges and taxes. No additional commissions are deducted.

3. Verified Artists Program

Eligible clients may be granted Verified Artist status, which includes:

  • Verified badge

  • Unlimited uploads

  • Free publishing services

  • Free label customization

  • Marketing support (including editorial pitching)

  • Smart links for promotion

Verified Artists are subject to an additional 8% maintenance charge, alongside applicable partner charges.

4. General Conditions; Access to Services

4.1 You are granted access to the Platform subject to compliance with these Terms.

4.2 Platform features may include:

  • Upload and distribution of content

  • Content hosting and storage

  • Metadata processing and delivery

  • ISRC/UPC assignment

  • Sales reporting and royalty tracking

  • Payment processing

We reserve the right to modify or remove features at any time.

4.3 You represent and warrant that:

  • You own or control all rights to Your Content

  • Your Content does not infringe third-party rights

  • You grant us the necessary rights to distribute and administer your content globally

5. Use of the Platform

5.1 You agree to:

  • Upload only content you own or are authorized to use

  • Provide accurate and complete information

  • Comply with all applicable laws

  • Avoid harmful, unlawful, or misleading activity

5.2 You must not:

  • Upload infringing or unauthorized content

  • Provide false metadata or impersonate others

  • Attempt to access or reverse engineer the Platform

  • Use the Platform for illegal or harmful purposes

5.3 We reserve the right to remove content and take action where necessary.

6. Upload and Content Management

6.1 You retain ownership of your content.

6.2 We may request documentation to verify rights ownership.

6.3 We may remove content that violates laws, rights, or these Terms.

6.4 We reserve the right to monitor and review content for compliance.

7. Fees and Payments

7.1 You agree to pay all applicable service fees.

7.2 Payments will be processed through your account dashboard.

7.3 Payments are issued monthly, subject to minimum thresholds.

7.4 Withholding:
We may withhold payments for up to twenty-four (24) months if we suspect:

  • Fraudulent activity

  • Rights disputes

  • Platform investigations

  • Breach of these Terms

7.5 Adjustments:
We may revise reports and adjust payments where necessary.

7.6 Platform Penalties:
If any Digital Service imposes penalties, deductions, or chargebacks related to your content, such amounts may be deducted from your earnings or future payments.

7.7 You are responsible for all taxes, fees, and bank charges.

8. Fraud, Artificial Streaming & Manipulation

8.1 You must not engage in fraudulent or artificial activity, including:

  • Bot or fake streaming

  • Paid or incentivized streams

  • Playlist manipulation or pay-for-play

  • Use of VPNs, scripts, or automation

  • Metadata fraud or impersonation

8.2 You are fully responsible for actions taken by third parties you engage.

8.3 We may monitor, investigate, and audit your account at any time.

8.4 If fraud is suspected or confirmed, we may:

  • Remove content

  • Suspend or terminate your account

  • Withhold or reverse royalties

  • Delay payouts

  • Report activity to partners

8.5 Fraudulent earnings are not payable and may be recovered.

8.6 We are not liable for losses resulting from enforcement actions.

8.7 Your use of the Platform is also governed by our Anti-Fraud & Streaming Integrity Policy.

9. Duration and Termination

9.1 This agreement continues until terminated by either party.

9.2 We may suspend or terminate your account immediately if:

  • You breach these Terms

  • You engage in fraud or illegal activity

  • You create risk or liability for the Platform

9.3 Termination does not affect accrued obligations.

10. Intellectual Property

10.1 We retain all rights to the Platform.

10.2 You grant us the rights necessary to distribute your content.

10.3 You confirm your content does not infringe third-party rights.

11. Privacy

Your data is handled according to our Privacy Policy.

12. Warranty & Liability

12.1 Services are provided “as is”.

12.2 We are not liable for indirect or consequential damages.

12.3 Our liability is limited to fees paid in the previous 12 months.

12.4 You agree to indemnify us against claims arising from your use.

13. Miscellaneous

13.1 You may not assign your account without consent.

13.2 Invalid provisions do not affect the rest of the Terms.

13.3 We may use your content and achievements for promotional purposes.

13.4 We are not obligated to provide promotional services.

13.5 Notices will be communicated via email.

13.6 We may update these Terms with notice.

13.7 You must treat confidential information appropriately.

13.8 These Terms include our Anti-Fraud Policy.

Final Note

Digital Music Services actively monitor for artificial streaming and fraudulent activity. They may remove content, withhold royalties, or impose penalties independently.

You agree to operate transparently and in good faith at all times.
